These Terms of Service ("Terms") constitute a legally binding agreement between you and Nyata Ltd ("we", "us", "our", or "Company"), a company registered in England and Wales, regarding your access to and use of the Nyata AI mobile application, website, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Nyata AI provides an AI-powered companion application designed to help Bristol residents access community services, support resources, local information, and transportation services. Our Services include:

  • AI Chat Companion: Conversational AI characters with different personalities and specialties
  • Bristol Services Information: Real-time information about free meals, food banks, community events, housing support, and local services
  • Taxi Booking: Book licensed private hire vehicles (PHVs) with real-time tracking, driver matching, and secure payments
  • Barber Booking: Book appointments with local barbers
  • Beauty Services: Book appointments with local beauty service providers
  • Mobile Applications: iOS and Android apps available on the App Store and Google Play Store
  • API Access: Developer API for integrating Nyata AI functionality into third-party applications
  • Web Platform: Browser-based access to certain features

3. Eligibility

You must meet the following requirements to use our Services:

3.1 Age Requirements

  • You must be at least 13 years old to create an account and use our Services
  • You must be at least 18 years old to use taxi booking and payment features
  • Users aged 13-18 should have parental or guardian consent before using our Services
  • We do not knowingly collect information from children under 13

3.2 Legal Capacity

  • You must have the legal capacity to enter into binding contracts
  • You represent that you are not prohibited from using our Services under UK law
  • You agree to use the Services in compliance with all applicable laws and regulations

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account by providing:

  • A valid email address
  • A secure password
  • Any additional information requested during registration

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information is accurate and up-to-date

4.3 Account Deletion

You may delete your account at any time through:

Account deletion is permanent and cannot be undone. All your data will be deleted in accordance with our Privacy Policy.

5. Taxi Booking Services

By using our taxi booking feature, you agree to the following terms:

5.1 Service Description

Nyata AI provides a platform to connect passengers with licensed Private Hire Vehicle (PHV) drivers in Bristol. We act as an intermediary and do not directly provide transportation services.

5.2 Booking Fee

  • A non-refundable booking fee of £2.00 is charged when a driver accepts your booking
  • This fee covers platform costs and is separate from the fare you pay to the driver
  • Payment is processed securely via Apple Pay, Google Pay, or card payment through Stripe

5.3 Payment Authorization

How Payment Works:

  • Authorization: When you book, we place a temporary £2.00 hold on your card (not charged)
  • Capture: The £2.00 is only charged when a driver accepts your booking
  • Cancellation before acceptance: Hold is released immediately (no charge)
  • Refund: If driver cancels or no drivers available, you receive a full refund

5.4 Fare Payment

  • The fare displayed in the app is an estimate only
  • The final fare is calculated by the driver's taximeter in accordance with Bristol City Council rates
  • You must pay the driver directly (cash or card as indicated in your booking)
  • Additional charges may apply for extras (e.g., Temple Meads pickup, airport, extra passengers, large luggage)

5.5 Cancellation Policy

  • Before driver accepts: Cancel free of charge (hold released)
  • After driver accepts: £2.00 booking fee is non-refundable
  • No-show: If you don't appear at pickup within 5 minutes of driver arrival, the booking may be cancelled and the fee is non-refundable

5.6 Verification Code

For your safety, you will receive a 4-digit verification code when a driver accepts your booking. You should:

  • Verify the driver's code matches before entering the vehicle
  • Check the vehicle registration matches the app
  • Confirm driver identity using the photo provided

5.7 Driver Licensing

All drivers on our platform are required to hold valid Bristol City Council Private Hire Vehicle (PHV) licenses. We display license information in the app for your verification. However, we do not guarantee the ongoing validity of any license.

5.8 Your Responsibilities

  • Provide accurate pickup and destination addresses
  • Be ready at the pickup location at the scheduled time
  • Treat drivers with respect and courtesy
  • Wear seatbelts as required by law
  • Not smoke, consume alcohol excessively, or engage in illegal activities in the vehicle
  • Pay for any damage caused to the vehicle

5.9 Ratings and Reviews

After each trip, you may rate your driver. Ratings help maintain service quality. False or malicious ratings are prohibited and may result in account suspension.

6. Other Booking Services

6.1 Barber Booking

Our barber booking service allows you to book appointments with local barbers. Payment for barber services is made directly to the service provider, not through Nyata AI.

6.2 Beauty Services

Our beauty services marketplace connects you with local beauty professionals. Payment for beauty services is made directly to the service provider.

6.3 Third-Party Service Providers

Barbers, beauty professionals, and taxi drivers are independent contractors, not employees of Nyata Ltd. We are not responsible for the quality, safety, or legality of services provided by third parties.

7. Payments and Refunds

7.1 Payment Processing

Payments are processed securely by Stripe. We accept:

  • Apple Pay (iOS devices)
  • Google Pay (Android devices)
  • Credit and debit cards (Visa, Mastercard, Amex)

7.2 Pricing

All prices are displayed in British Pounds (GBP). Prices for taxi booking fees are fixed at £2.00. API and premium service pricing is displayed before purchase.

7.3 Refund Policy

Taxi Booking Refunds:

  • Cancelled before driver accepts: Full refund (hold released)
  • Driver cancels: Full refund processed within 5-10 business days
  • No drivers available: Full refund processed automatically
  • You cancel after driver accepts: No refund
  • No-show: No refund

7.4 Disputes

If you believe you've been charged incorrectly:

  • Contact us at ibrahim@nyataai.co.uk within 30 days
  • Provide your booking reference and details of the dispute
  • We will investigate and respond within 14 days

8. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must NOT:

8.1 Prohibited Activities

  • Use the Services in any way that violates UK or international laws
  • Attempt to harm, harass, threaten, or intimidate other users or drivers
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, crawl, or use automated tools to access our Services without permission
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use our Services to distribute spam or unsolicited communications
  • Impersonate any person or entity, or falsely claim affiliation with any organization
  • Make false or fraudulent bookings
  • Abuse the refund or cancellation system

8.2 Content Restrictions

You must not use our Services to create, share, or transmit content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Infringes on intellectual property rights or other proprietary rights
  • Contains sexually explicit material or promotes sexual exploitation
  • Promotes violence, discrimination, or hatred against individuals or groups
  • Contains false or misleading information
  • Violates the privacy or publicity rights of others

Enforcement: We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, withholding refunds, and reporting to law enforcement authorities.

9. User Content

9.1 Your Content

You retain ownership of any content you submit, post, or display through our Services ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, and distribute your User Content solely for the purpose of:

  • Providing and improving our Services
  • Training and improving our AI models (in anonymized form)
  • Displaying ratings and reviews
  • Complying with legal obligations

9.2 Ratings and Reviews

When you submit ratings or reviews:

  • They must be honest, accurate, and based on genuine experience
  • They must not contain personal attacks, profanity, or discriminatory language
  • They may be displayed publicly and shared with service providers
  • We reserve the right to remove reviews that violate these Terms

10. Intellectual Property

10.1 Our Intellectual Property

The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by Nyata Ltd and are protected by UK and international copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes in accordance with these Terms.

10.3 Restrictions

You may not:

  • Copy, modify, distribute, or create derivative works from our Services
  • Use our trademarks, logos, or branding without written permission
  • Remove or alter any copyright, trademark, or proprietary notices

11. API Terms

11.1 API Access

If you use our API, additional terms apply:

  • You must create an account and obtain an API key
  • API keys are personal and must not be shared
  • You are responsible for all activity under your API key
  • We may impose rate limits and usage quotas

11.2 API Usage Restrictions

When using our API, you must not:

  • Exceed rate limits or attempt to circumvent usage restrictions
  • Use the API in a way that could damage or impair our Services
  • Resell or redistribute API access without written permission
  • Use the API for any unlawful or prohibited purpose

  • Change API pricing, rate limits, or features
  • Revoke API access for violations of these Terms

  • Any pending bookings will be cancelled
  • Sections of these Terms that should survive termination will remain in effect

IMPORTANT: PLEASE READ CAREFULLY

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13.1 No Warranties

To the fullest extent permitted by law, we disclaim all warranties, including:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of information provided
  • Warranties regarding the availability, quality, or conduct of drivers or other service providers

13.2 AI-Generated Content

Our AI-generated responses:

  • Are for informational purposes only and should not be considered professional advice
  • May contain errors, inaccuracies, or outdated information
  • Should be independently verified before relying on them
  • Do not constitute medical, legal, financial, or other professional advice

13.3 Transportation Services

We do not provide transportation services directly. We are a technology platform that connects passengers with independent drivers. We are not responsible for:

  • The conduct, actions, or negligence of drivers
  • The condition or safety of vehicles
  • Delays, route choices, or driving quality
  • Loss or damage to personal property during transit
  • Any accident, injury, or incident during your journey

13.4 Third-Party Content

We are not responsible for:

  • User-generated content
  • Third-party websites, services, or resources linked from our Services
  • The accuracy or availability of information from external sources

14. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYATA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

14.1 Maximum Liability

Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of:

  • £100 (one hundred British pounds), or
  • The amount you paid us in the 12 months before the claim arose

14.2 Exclusions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under UK law

15. Indemnification

You agree to indemnify, defend, and hold harmless Nyata Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your conduct during taxi journeys or other bookings
  • Any damage you cause to vehicles or property

16. Governing Law and Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

16.2 Jurisdiction

You agree that any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16.3 Dispute Resolution

17. Changes to These Terms

We may modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of these Terms
  • For material changes, we will notify you via email or in-app notification
  • Your continued use of the Services after changes constitutes acceptance of the updated Terms
  • If you do not agree to the changes, you must stop using the Services and delete your account
